1. Agreement Overview

By accessing the website at aximolabs.com or commissioning Aximo Labs for automation engineering, AI agent development, or system integration services, you agree to comply with and be bound by these Terms of Service.

2. Services & Scope of Delivery

Aximo Labs designs, builds, tests, and deploys customized enterprise automation workflows. These include, but are not limited to:

• Autonomous AI Agents & Multi-turn Chatbots powered by OpenAI / LLM APIs.
• Low-code / node-based orchestration pipelines on n8n and webhook infrastructure.
• E-Commerce automations spanning Shopify, inventory sync, and CRM dispatching.
• Custom API bridges and database synchronization with Google Sheets, Airtable, PostgreSQL, and Slack.

3. Intellectual Property & Workflow Ownership

We believe clients should always maintain sovereign ownership over their operational code:

• 100% Client Ownership: Upon full settlement of project milestone invoices, all bespoke n8n JSON workflow definitions, custom Python/Node.js glue scripts, system prompt architectures, and documentation become the sole intellectual property of the client.
• Pre-existing Core Frameworks: Aximo Labs retains ownership of its proprietary internal toolkits, reusable helper libraries, and pre-built utility modules utilized to assemble client workflows.

4. Third-Party API Costs & Infrastructure

Unless explicitly arranged through a managed subscription contract:

• The client is responsible for third-party consumption costs generated by their integrated software (e.g., OpenAI API usage tokens, n8n Cloud or self-hosted server expenses, Shopify plan fees, and communications APIs).
• Aximo Labs architects workflows with built-in token optimization, aggressive caching, and rate limiting to keep operational expenses at minimal levels.

5. Warranty & Maintenance SLA

We stand behind every system we engineer:

• 30-Day Post-Launch Warranty: Every custom deployment includes 30 calendar days of complimentary bug fixing, logic validation, and minor edge-case parameter tuning.
• Ongoing Retainers: Extended SLAs, 24/7 uptime monitoring, third-party API deprecation upgrades, and prompt re-alignment are offered under monthly maintenance tiers.

6. Limitation of Liability

While we apply rigorous unit testing and failover loops, Aximo Labs shall not be liable for indirect, incidental, or consequential damages resulting from upstream third-party service outages (e.g., OpenAI network disruptions, Shopify API downtime, or cloud hosting interruptions).
